Upkeep
Terms of service
Last updated 21 September 2026.
1. Agreement
These terms are an agreement between you, the merchant who installs Upkeep on a Shopify store, and us, the provider of Upkeep. By installing Upkeep or choosing a plan, you accept them, together with our privacy policy.
2. What Upkeep does
Upkeep analyses how your products perform and changes the order of products in the collections you let it manage. It can switch a collection to manual sorting when you ask it to, and restores the original sorting when you stop it. It never edits your products, prices or content. You can pause it, set rules, and undo any change.
3. Plans and billing
- Upkeep is a paid subscription, billed monthly or yearly through your Shopify invoice.
- Monthly Basic includes a 7-day free trial. Other plans start billing when you approve them.
- You can change or cancel your plan at any time in the app. Shopify credits unused time on cancellation according to its billing rules.
4. Your responsibilities
You're responsible for your store, its products and its compliance with the laws that apply to it, including telling your customers about the tools your store uses. Upkeep's suggestions and changes are based on your store's data and don't guarantee any particular result.
5. Data processing
For personal data about your customers and store visitors, you are the controller and we process it on your behalf, only to provide Upkeep. Specifically, we:
- Process only the data described in our privacy policy: products sold with quantities, amounts and dates, and anonymous product views and add-to-carts. We don't access customer names, emails, addresses or phone numbers.
- Use it only to analyse product performance and arrange your collections, never for our own purposes.
- Don't sell it, and don't use it for advertising.
- Only collect storefront activity from visitors who allow analytics, as Shopify applies their choices.
- Encrypt it in transit and at rest, and limit access to the people who operate Upkeep.
- Use these subprocessors: our hosting and database providers, an AI model provider when you use Upkeeper AI (receiving your questions and product summaries, no customer data), and Shopify for billing.
- Delete all data about your store within 48 hours of Shopify telling us you've uninstalled Upkeep.
- Help you respond to data requests from your customers, which Shopify forwards to us.
- Tell you without undue delay if we become aware of a breach affecting your store's data.
6. Availability and changes
We work to keep Upkeep available and accurate, but it's provided as is, without warranties beyond those the law requires. We may update these terms; if a change is significant, we'll tell you in the app before it takes effect.
7. Liability
To the extent the law allows, our total liability for any claim is limited to the fees you paid for Upkeep in the 12 months before the claim, and we're not liable for indirect losses such as lost profits.
8. Ending
You can stop using Upkeep at any time by uninstalling it. We may suspend access if these terms are broken or if Shopify ends our access.
